These Terms of Use and Booking Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "Passenger", "you", or "your") and Vertex Travel LLC regarding your use of our website, mobile applications, phone support, and the booking of any travel arrangements. By accessing our website, interacting with our agents, or authorizing payment for any travel products, you expressly agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must cease using our services immediately.

Vertex Travel LLC acts exclusively as an independent agent and intermediary for third-party travel product providers, including airlines, consolidators, hotels, and Global Distribution Systems (collectively, "Suppliers"). · No Control Over Suppliers — We do not own, manage, operate, or control any of these Suppliers. · Release of Liability — Vertex Travel LLC is not liable for any personal injury, death, property damage, delayed departure, missed connection, cancellation, overbooking, route change, loss of baggage, or any other loss or expense arising directly or indirectly from the acts, omissions, negligence, or default of any Supplier. · Supplier Bankruptcies — In the event of a Supplier's bankruptcy, insolvency, or cessation of operations, your only recourse for a refund or compensation rests directly with the Supplier or your travel insurance provider, not with Vertex Travel LLC.

You may use our website and services solely to make legitimate reservations or purchases. You are strictly prohibited from: · Making any speculative, false, or fraudulent reservations. · Using our website or services for any commercial purpose without our express written consent. · Accessing, monitoring, or copying any content or information using any robot, spider, scraper, or other automated means. · "Framing", "mirroring", or otherwise incorporating any part of our website into any other website. · Engaging in abusive, harassing, or threatening behavior toward Vertex Travel LLC agents or staff.

Our agency specializes in securing discounted business class airfare and consolidator tickets. Due to the nature of these discounts, strict rules apply: · Fares Are Not Guaranteed Until Ticketed — A price quote, itinerary hold, or reservation confirmation does NOT guarantee the fare. A fare is only locked in and guaranteed once full payment is successfully captured and the airline has issued a 13-digit e-ticket number. · Price Fluctuations — Airlines reserve the right to change prices or withdraw availability at any moment. If a fare increases before ticketing is finalized, you will be notified and given the option to pay the difference or cancel the request without penalty. · Name Matching — Reservations must be made in the exact name as it appears on the Passenger's government-issued passport. · Name Changes — Name changes or transfers to another individual are strictly forbidden by airlines once a booking is created.

All prices are quoted and charged in U.S. Dollars (USD) unless otherwise specified. · Payment Authorization — By providing your credit card, debit card, or bank information, you authorize Vertex Travel LLC and its Suppliers to charge the agreed-upon total amount. · Fraud Prevention — To protect against credit card fraud, we may require a rigorous verification process. This may include requesting a completed authorization form, a copy of the front and back of the credit card, and a copy of a government-issued ID. We reserve the right to cancel any booking if fraud is suspected. · Anti-Chargeback Policy — By agreeing to these Terms, you waive your right to initiate a credit card dispute or "chargeback" for services rendered, or for non-refundable tickets where the airline's rules prohibit refunds. · Chargeback Liability — If you disagree with a charge, you must contact us directly to seek a resolution. If you initiate an invalid, frivolous, or fraudulent chargeback, you agree to be held fully liable for the original transaction amount, plus any legal fees, arbitration fees, bank penalties, and collection costs incurred by Vertex Travel LLC to recover the funds.

Unless explicitly stated otherwise in writing at the time of booking, discounted business class tickets and consolidator fares are NON-REFUNDABLE and NON-REROUTABLE. · Airline Penalties — Any voluntary changes or cancellations are strictly governed by the specific airline's fare rules. Penalties can range from a fixed fee to the complete forfeiture of the ticket value. · Agency Processing Fees — In addition to airline-imposed penalties, Vertex Travel LLC charges a non-refundable processing fee of up to $250.00 USD per passenger for all voluntary cancellations, changes, or ticket exchanges. · No-Show Policy — Failure to board any segment of your flight (a "no-show") will result in the immediate and automatic cancellation of all remaining onward and return flights by the airline. The ticket will instantly lose all its value, and no refund will be provided.

Airlines frequently alter their flight schedules, equipment, or routing. · Notification — While we endeavor to notify you of significant schedule changes, it is ultimately your responsibility to reconfirm your flights directly with the airline at least 72 hours prior to departure. · Options — If an airline makes a major schedule change or cancels a flight, your options are dictated strictly by the airline's policies. We will assist you in finding alternative flights or requesting a refund from the airline (if permitted by the airline's rules), subject to our standard administrative fees.

It is strictly your responsibility to ensure you and all passengers in your party possess the necessary travel documentation. Vertex Travel LLC assumes no responsibility, and offers no refunds, if you are denied boarding or entry into a country due to improper documentation. · Passports — Most countries require your passport to be valid for at least six (6) months beyond your scheduled date of return. Ensure your passport has adequate blank visa pages. · Visas — You must independently verify and obtain all necessary visas, electronic travel authorizations (e.g., ESTA, eTA), and transit visas for your final destination and any layover airports.

Baggage allowances, fees, and restrictions vary significantly by airline, fare type, and route. · Information — Please review your specific airline's baggage policy on their official website. · Liability — Vertex Travel LLC is not responsible for any baggage fees incurred at the airport, nor are we liable for damaged, delayed, or lost luggage. Claims for lost or damaged baggage must be filed directly with the operating carrier at the airport prior to leaving the terminal.

· Frequent Flyer Miles — Discounted consolidator fares may not be eligible for frequent flyer mileage accrual or elite status upgrades. It is your responsibility to check with your airline program. · Special Requests — Requests for special meals, wheelchair assistance, or specific seats are submitted to the airline but are never guaranteed. · Seat Assignments — Advanced seat assignments on discounted fares are entirely subject to the airline's discretion, may incur additional fees imposed by the airline, or may only be available at check-in.

In accordance with our Privacy Policy and telecommunication regulations (including The Campaign Registry / TCR): · Consent — By providing your mobile number and engaging our services, you consent to receive SMS communications related to your itinerary, ticketing status, urgent flight changes, and customer support. · Opt-Out — You may revoke your consent at any time by replying STOP to any text message from us. Upon opting out, you will receive one final confirmation message. · Zero Sharing Policy — Message and data rates may apply. SMS consent and opt-in data will never be shared with or sold to third parties for marketing purposes.

All content on the Vertex Travel LLC website, including text, graphics, logos, images, and software, is the property of Vertex Travel LLC or its content suppliers and is protected by international copyright and trademark laws. You may not modify, reproduce, distribute, or display any part of our website without prior written consent.

· "AS IS" Basis — Our website and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. · Indemnification — You agree to indemnify, defend, and hold harmless Vertex Travel LLC, its officers, directors, employees, and agents from and against any claims, causes of action, demands, recoveries, losses, damages, or other costs arising from your breach of these Terms, your violation of any law or the rights of a third party, or your use of our services.

These Terms and any disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any legal action or proceeding relating to your access to, or use of, our services shall be instituted exclusively in a state or federal court located in Wilmington, Delaware. You explicitly agree to submit to the personal jurisdiction of, and agree that venue is proper in, these courts.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. These Terms, along with our Privacy Policy, constitute the entire agreement between you and Vertex Travel LLC regarding your use of our services.

Vertex Travel LLC reserves the right to modify these Terms at any time without prior individual notice. The updated Terms will be posted on our website and become effective immediately upon publishing. Your continued use of our services following any changes constitutes acceptance of the modified Terms.
